Below is a non-exhaustive list of the flat fee services we routinely provide such that we are able to price them at a consistent flat rate. We strive to offer all services on a flat fee basis if possible so there is a set price for all involved. Fees for Professional Services are TAX DEDUCTIBLE and any CONSULTATION FEE WILL BE APPLIED TO ADDITIONAL SERVICES* (if needed). * Consultation fees will be deducted from any additional services needed if Thompson Law Group, P.C. is retained within thirty (30) calendar days of the consultation.

New Business Consultation
In this one-hour consultation, we will discuss the requirements for forming a new business as well as best practices so that you may make educated decisions about your new venture. We will also answer any questions that you may have about starting and running a new business.

General Business Consultation for Existing Businesses
In this one-hour consultation, we will discuss anything you want about the legalities of your business and any questions you have. We will spend time preparing for our consultation by researching your company records so that we will have our own recommendations for you at the consultation. We will also ask our own questions to ensure that you have the legal tools you need to run all aspects of your business. This consultation is about anything you want and anything you need to know.

Consultation for Businesses in Financial Distress/Dissolution Information
In this one-hour consultation, we will discuss strategies for businesses in financial distress to either become financially viable or shut down. We will spend time preparing for our consultation by researching your company public records as well as the information you provide so that we will have our own recommendations for you at the consultation. This consultation will help you get a handle on your business in financial distress because you will learn all of the various options available.

Complete Business Formation
Limited Liability Companies (LLCs)
Arizona LLC Formation – single member or married couple
This flat fee includes a personal attorney consultation (by phone or Zoom) about business/LLC basics, formation of the LLC, obtaining EIN, Arizona Corporation Commission filing fees with standard expedited processing fee, and a basic Operating Agreement. If you are a single-member LLC, you need an Operating Agreement to protect you from piercing the corporate veil. This flat fee does not include publication costs, if any. This flat fee includes a personal attorney consultation (by phone or Zoom) about business/Corporation basics, formation of the Corporation, obtaining EIN, Arizona Corporation Commission filing fees with standard expedited processing fee, Initial Meeting Minutes and basic Bylaws. We will also provide you with a set of annual meeting minutes that you may use to meet your annual meeting requirement going forward. If you require more comprehensive Bylaws, this is an additional charge that we can discuss at our initial consultation. This flat fee does not include publication costs, if any. Arizona LP, LLP, LLLP Formation
This flat fee includes an attorney consultation about business/LP, LLP, LLLP basics, formation of the LP, LLP, LLLP, obtaining EIN, Arizona Secretary of State filing fees, and a basic Partnership Agreement. An upgrade to a more comprehensive Partnership Agreement is an additional charge and will be discussed at the initial consultation. This flat fee does not include publication costs, if any.

Changes to Existing LLCs, Corporations, LPs, LLPs, and LLLPs
Arizona LLCs – Amendments to Articles of Organization
This flat fee includes drafting and filing Articles of Amendment for an existing LLC that needs to change members (owners), managers, their addresses, management structure or any other change to the original Articles of Organization. This flat fee does not include publication costs, if any. Bulk pricing available for Articles of Amendment for multiple LLCs, contact us for bulk pricing options.

Changes to Shareholders/Officers/Directors for Trust Ownership
This flat fee includes drafting and filing any document necessary to change the Shareholders/Officers/Directors of an existing Arizona Corporation and/or their addresses. Arizona LPs, LLPs and LLLPs – Amendments to Registration
This flat fee includes drafting and filing Amendments to Certificate/Registration with the Arizona Secretary of State for an existing LP/LLP/LLLP that needs to change partners, management, their addresses, structure or any other change to the original registration. ANNUAL LLC Operating Agreement Check-up/Review and Consultation
This flat fee includes a review of any existing Operating Agreement (and other internal documents) to ensure that your Operating Agreement addresses your current needs. This flat fee also includes an attorney consultation and a review of all of the public records regarding your business to ensure everything is in alignment. Recommendations will be made for additional provisions or strategies at our consultation.

LLC Operating Agreements
Draft a comprehensive Operating Agreement. If you already have an Operating Agreement, we will incorporate your existing terms in the new Operating Agreement. All new/updated Operating Agreements will include a CTA Compliance Policy and succession plan. Prices will vary based on the complexity of the business. ANNUAL Corporation Check-up/Review and Consultation
This flat fee includes a review of any existing Bylaws, Meeting Minutes, Corporate Resolutions and any other internal documents to ensure that your Bylaws address your corporation’s current needs. Drafting Corporate Bylaws/Meeting Minutes/Corporate Resolutions
Corporations are required to have Bylaws and annual meetings. If your corporation does not, we will fix that so that you are in compliance with Arizona law. If you have existing Bylaws and Meeting Minutes and need to make changes, we can do that to. Contact us and we will set up an initial consultation to discuss your needs and set up a flat fee accordingly.

ANNUAL LP, LLP, LLLP Partnership Agreement Check-up/Review and Consultation
This flat fee includes a review of any existing Operating Agreement (and other internal documents) to ensure that your Operating Agreement addresses your current needs. This flat fee also includes an attorney consultation and an attorney consultation. Recommendations will be made for additional provisions or strategies at our consultation.

LP, LLP, LLLP Partnership Agreements
Draft a comprehensive Partnership Agreement. If you already have a Partnership Agreement, we will incorporate your existing terms in the new Partnership Agreement. This option includes up to 2 hours of consultation and correspondence to tailor the agreement’s provisions to your partnership’s needs. General Business Maintenance – All Businesses
Contract review and Consultation
It is important to review your company’s contract periodically as laws change and so does your business. This consultation will include a review of any contracts you submit that are yours or you received. It is super helpful if you can provide us a list of your major concerns or questions prior to the attorney reviewing the contracts so that she may focus on the major issues.

- Up to 20 pages contract review
- 90 minutes of attorney time total
(some attorney time will be spent reviewing the contract(s) prior to the consultation)

Company Checkup and Succession (Exit Strategy) Planning Consultation
Let’s make sure your company documents are up to date with any changes in the law as well as with any changes to your company. We will review any internal document you have (Operating Agreement, Bylaws, Partnership Agreement, your formation documents, etc.) to be sure they contain the provisions necessary to run, maintain, shut down, change and transition your business. If you do not have governing documents, we will discuss creating them during our consultation. In addition, we will discuss having a business succession plan so that if something happens to you or one of the other owners, temporarily or permanently, your documents have a detailed plan to follow. If you have a succession plan already, we will review it to make sure it remains what you intended.

Terminations of LLCs
This flat fee includes an attorney consultation about all the necessary steps to properly terminate your LLC as well as terminating your LLC with the Arizona Corporation Commission. If you have multiple LLCs to terminate, we will adjust the flat fee accordingly as you will not need multiple consultations.

Dissolutions of LLCs or Corporations
Set up an attorney consultation to discuss the non-bankruptcy and bankruptcy options available for businesses in financial distress. We will discuss and create the best plan for you and your business. It is best to get advice from counsel as soon as possible so that mistakes are not made that prevent or delay moving forward towards a financially viable business or shutting it down cleanly. These consultations include a review of the current status of your business and a discussion of all the state and federal law options available to businesses in financial distress and their owners.
